Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you or the organization you represent ("you", "your", or "Customer") and Falahx ("Falahx", "we", "us", or "our").

By accessing or using any Falahx website, product, application, dashboard, API, software, or service, you agree to be bound by these Terms.

If you access or use Falahx on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the applicable Falahx services.

Falahx provides software products and technology services designed to help businesses build, automate, operate, and improve digital experiences and business systems.

Depending on the product or service you use, Falahx may provide:

• AI-powered customer support and conversational experiences.
• Customer support solutions for websites and supported communication channels.
• Website and web application development.
• Business dashboards and internal applications.
• Workflow and business process automation.
• API integrations, webhooks, and connected software systems.
• Custom software development and technology solutions.
• Analytics, reporting, lead capture, and business insights.
• Developer tools, APIs, infrastructure, and related services.

Specific features, usage limits, availability, pricing, service levels, and functionality may vary by product, plan, order, or applicable agreement.

You must provide accurate, current, and complete information when creating an account, purchasing a service, or otherwise interacting with Falahx.

You are responsible for maintaining the confidentiality of your account credentials and for activities performed through your account.

You must promptly notify Falahx if you believe that your account, credentials, API keys, or other access mechanisms have been compromised or used without authorization.

You may not create an account using a false identity, impersonate another person or organization, or attempt to bypass account, usage, billing, or security restrictions.

Certain Falahx products and services require a paid subscription or other form of payment.

Subscription prices, billing intervals, usage limits, included features, and other commercial terms are presented at the time of purchase or in an applicable order, proposal, statement of work, or agreement.

Unless otherwise stated, subscriptions automatically renew for the applicable billing period until cancelled.

You authorize Falahx or its designated payment provider to charge the applicable fees using the payment method associated with your account.

You are responsible for applicable taxes, duties, or government charges associated with your purchase, except for taxes imposed on Falahx's income.

We may modify pricing, plans, features, or billing structures from time to time. Where required by applicable law, we will provide reasonable notice of material changes.

Falahx may offer free trials, promotional access, or limited free versions of certain products or features.

Trial duration, eligibility, included usage, available features, and expiration conditions may vary by product or promotion.

Unless expressly stated otherwise, a free trial does not create a permanent right to access the applicable product or feature.

We may limit, suspend, or discontinue trial access if we reasonably believe the trial is being abused, exploited, used fraudulently, or used to circumvent commercial restrictions.

You retain ownership of the content, data, documents, materials, information, and other content that you submit to Falahx ("Customer Content"), subject to the rights granted to Falahx under these Terms.

You grant Falahx a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, process, modify as technically necessary, and otherwise use Customer Content solely as reasonably necessary to provide, maintain, secure, support, and operate the applicable services.

You represent and warrant that you have all rights, permissions, consents, and lawful authority necessary to submit Customer Content to Falahx and permit Falahx to process it as contemplated by these Terms.

You remain responsible for the accuracy, legality, integrity, and appropriateness of Customer Content and for your use of that content.

Certain Falahx products use artificial intelligence and machine-learning technologies to generate responses, summaries, classifications, recommendations, analytics, automations, and other outputs.

AI-generated outputs can be inaccurate, incomplete, outdated, biased, or inappropriate for a particular purpose. You should independently review and evaluate AI-generated information before relying on it.

Falahx does not guarantee that AI-generated outputs will always be accurate, complete, reliable, current, or suitable for your particular business requirements.

You are responsible for determining whether and how AI-generated outputs are used in your business, communications, decisions, products, or services.

Falahx AI features are not intended to replace professional legal, medical, financial, safety, or other specialized professional advice.

You agree to use Falahx services only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy.

You may not use Falahx services to:

• Violate applicable laws, regulations, or third-party rights.
• Infringe copyrights, trademarks, privacy rights, or other intellectual property rights.
• Attempt to gain unauthorized access to accounts, systems, networks, or infrastructure.
• Interfere with, disrupt, damage, or compromise the operation or security of the services.
• Transmit malware, malicious code, or harmful software.
• Conduct fraud, scams, phishing, impersonation, or deceptive activity.
• Abuse APIs, rate limits, automation systems, or other technical restrictions.
• Use the services to build or operate a substantially competing service in violation of an applicable agreement.
• Use AI features for unlawful, harmful, abusive, or prohibited activities.
• Reverse engineer, decompile, disassemble, or attempt to extract source code from Falahx software except where such restriction is prohibited by applicable law.

Additional restrictions may apply under our Acceptable Use Policy or an applicable product or service agreement.

Falahx may integrate with or depend on third-party services, platforms, APIs, hosting providers, payment processors, communication platforms, AI providers, analytics providers, and other external technologies.

Your use of third-party services may be subject to the applicable third party's terms, privacy policies, fees, limitations, and availability.

Falahx does not control and is not responsible for the independent operation, availability, security, content, or policies of third-party services that we do not operate.

Falahx and its licensors own all rights, title, and interest in and to the Falahx software, platform, websites, branding, trademarks, designs, documentation, technology, and related intellectual property, except for Customer Content and third-party materials.

These Terms do not transfer ownership of Falahx intellectual property to you. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the applicable services during the applicable subscription or service period.

You may not copy, reproduce, distribute, sell, sublicense, modify, create derivative works from, or commercially exploit Falahx proprietary software or materials except as expressly permitted by us or applicable law.

Falahx may provide custom websites, web applications, software systems, integrations, automations, dashboards, APIs, and other technology services under separate proposals, statements of work, purchase orders, or agreements.

Custom project terms may define scope, deliverables, timelines, fees, milestones, ownership, licensing, hosting, maintenance, support, warranties, and acceptance criteria.

If a separate written agreement conflicts with these Terms regarding a specific custom project, the applicable project agreement will control to the extent of that conflict.

Unless otherwise agreed in writing, third-party software, services, APIs, fonts, stock assets, libraries, and other external components remain subject to their respective licenses and terms.

Each party may receive non-public information from the other party that is reasonably understood to be confidential ("Confidential Information").

Each party agrees to use reasonable care to protect Confidential Information and to use it only for purposes related to the applicable business relationship.

Confidentiality obligations do not apply to information that is publicly available through no breach, was already lawfully known, is independently developed without use of Confidential Information, or is required to be disclosed by law.

Falahx maintains technical and organizational safeguards designed to protect our services and information processed through them.

However, no software, infrastructure, internet transmission, or storage system can be guaranteed to be completely secure.

You are responsible for maintaining the security of your account credentials, devices, integrations, access keys, API keys, and systems connected to Falahx.

We work to keep Falahx services reliable and available, but we do not guarantee uninterrupted, timely, or error-free operation.

Services may occasionally be unavailable because of maintenance, upgrades, infrastructure issues, security incidents, third-party failures, internet or telecommunications problems, or circumstances outside our reasonable control.

We may modify, improve, replace, suspend, or discontinue features or services from time to time. Where appropriate, we will provide reasonable notice of material changes.

You may stop using a Falahx service at any time, subject to the cancellation, payment, and other terms applicable to your subscription or agreement.

Falahx may suspend or terminate access if you materially violate these Terms, fail to pay amounts due, create security or legal risks, misuse the services, or where suspension or termination is reasonably necessary to protect Falahx, our customers, users, or others.

Where reasonably practicable, we may provide notice and an opportunity to address the issue before terminating access, except where immediate action is reasonably necessary.

Upon termination, your right to access the applicable services will end. Provisions that by their nature should survive termination will continue to apply, including provisions concerning intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, and dispute-related obligations.

To the maximum extent permitted by applicable law, Falahx services are provided on an "as is" and "as available" basis.

We do not warrant that the services will be uninterrupted, completely secure, error-free, or suitable for every particular business purpose.

We do not guarantee the accuracy, completeness, reliability, or usefulness of AI-generated outputs, automated actions, analytics, recommendations, or information obtained through third-party services.

Nothing in these Terms excludes or limits any warranty, right, or protection that cannot lawfully be excluded or limited under applicable law.

To the maximum extent permitted by applicable law, Falahx and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunities, data, or business interruption arising from or relating to your use of the services.

To the maximum extent permitted by applicable law, Falahx's total aggregate liability arising out of or relating to the services or these Terms will not exceed the fees you paid to Falahx for the applicable service during the twelve months immediately preceding the event giving rise to the claim.

These limitations apply regardless of the legal theory on which a claim is based, to the extent permitted by applicable law.

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Falahx and its affiliates, officers, employees, contractors, licensors, and service providers from claims, damages, liabilities, losses, and reasonable expenses arising from:

• Your violation of these Terms.
• Your unlawful or unauthorized use of the services.
• Your Customer Content or the processing of Customer Content as directed by you.
• Your violation of another person's or organization's rights.
• Your use of third-party services or integrations in connection with Falahx.

These Terms and any dispute arising from or relating to the services will be governed by the laws applicable to Falahx's contracting legal entity, without regard to conflict-of-law principles.

Any applicable courts or dispute-resolution mechanisms will be determined by the jurisdiction specified in the applicable Falahx agreement or, if none is specified, by the jurisdiction applicable to Falahx's contracting entity.

Nothing in this section prevents either party from seeking urgent or equitable relief where permitted by law.

We may update these Terms from time to time to reflect changes to our services, business practices, technology, or legal requirements.

When we make changes, we will update the "Last updated" date at the top of this page. Where required or appropriate, we may provide additional notice.

Your continued use of the services after revised Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law.
